Overview :
MIDF Investment’s Corporate Finance Department provides Advisory Services in the areas of:
- Mergers and Acquisitions (M&A);
- Initial Public Offerings (IPO) on the Main Board, Second Board and Mesdaq Market of the Bursa Malaysia Securities Berhad;
- Establishment of Real Estate Investment Trust (REIT)
- Capital raising from primary and secondary equity and equity-linked offerings;
- Corporate restructuring and other related advisory services.
In the Corporate Finance Department, we emphasise on understanding our client’s business and strategic issues at all stages of the company’s development. We believe in complete involvement with our clients and place particular emphasis on long-term relationships.
We understand that the keys to a successful outcome for an assignment are a thorough understanding of the client’s business, its competitive dynamics, detailed analysis, in-depth preparation and persistent execution through to completion.
Our Corporate Finance professionals have considerable in-depth industry experience, and diverse corporate finance advisory expertise and is in an advantageous position to help maximise performance and create long-term value for our clients.
The primary functions of the Corporate Finance Department amongst others:
- to provide corporate advisory services for transactions amongst others, primary and secondary, merger & acquisitions (M&A), initial public offering (“IPO”), capital raising, corporate restructuring and strategic financial advisory;
- to advise on the structure of scheme, timing and appropriate procedures to be followed and compliance with the relevant rules and regulations in respect of the corporate proposals;
- to prepare and submit, on behalf of the company, the necessary applications to the Securities Commission (“SC”), Equity Compliance Unit of the SC (“ECU”) and Foreign Investment Committee (“FIC”), Ministry of International Trade and Industry (“MITI”), Bank Negara Malaysia (“BNM”) and other relevant authorities for the corporate proposals;
- to advise, co-ordinate and facilitate in the implementation of the corporate proposals;
- to arrange and co-ordinate the due diligence review and meetings with the relevant parties prior to submissions to the relevant authorities;
- to advise and assist in the preparation and release of the necessary announcements to Bursa Securities in respect of the corporate proposals on behalf of the company; and
- to advise and assist in the preparation of public documents to shareholders of the company amongst others, circular and prospectus.
